What is the dividend process?
Dividend can be declared provided: the company has sufficient distributable reserves as defined generally in Section 830 of the Companies Act 2006. determination of the existence of sufficient distributable reserves must be undertaken with reference to relevant accounts as set out in Sections 836 to 839 of the Companies Act 2006.
Unlawful dividends in light of Section 847 of the Companies Act 2006 are repayable by shareholders who are in receipt of the same.
