Token Distribution Event
means the date on which the Token Issuer will provide Tokens to the Purchaser under this Agreement. The timing of the Token Distribution Event will be determined at the sole discretion of the Token Issuer; provided, however, that if the Tokens are not delivered by the date of the expiration of the Distribution Compliance Period, the Token Distribution Event shall be no later than 10 days after the expiration of the Distribution Compliance Period (the “Token Distribution Deadline”), subject to Section 2(b). The Token Issuer will provide 21 days’ notice prior to the Token Distribution Event.

The sale or distribution of a significant number of Tokens outside of the Token Distribution Event, or the perception that such further sales or issuance may occur, could adversely affect the trading price of the Tokens.
Future sales of the Tokens could materially and adversely affect the market price of Tokens Any future sale of the Tokens (which were not available for sale in the Token Distribution Event) would increase the supply of Tokens in the market and this may result in a downward price pressure on the Tokens.
The Debtors would, in essence, be passing on a potentially valuable digital asset source that does not require any remuneration other than offering the Token Distribution Event to Eligible Customers.
Facilitating the Token Distribution Event satisfies the horizontal test.
In addition, this Section 2(a) shall not apply if the representations and warranties of the purchasers of Tokens set forth in the Token Distribution Documents are not true with respect to the Purchaser at the time of the Token Distribution Event or if the Purchaser is otherwise not eligible to receive Tokens at the time of the Token Distribution Event under the Token Distribution Documents.
